Producer Terms

1. Scope
These Producer Terms govern the Producer's use of the Platform as a business user. They are in addition to, and prevail over, the Terms of Service in the event of any conflict on matters specific to the producer-platform relationship. In these Producer Terms, "Producer" has the meaning given in the Terms of Service.
2. Onboarding and verification
On onboarding, the Producer shall provide accurate company details, registration information, the name of its authorised representative, and any documentation reasonably required to comply with know-your-customer, tax, and sanctions obligations. The Producer shall keep this information current.
3. Content licence to Stomaton
The Producer grants Stomaton a worldwide, non-exclusive, royalty-free, sub-licensable licence to use, reproduce, display, and translate the inventory data, photographs, and descriptions submitted to the Platform, solely for the purpose of marketing, quoting, and selling the Goods through the Platform. The Producer retains ownership of its content.
4. Content standards
The Producer shall ensure that its content is accurate, up to date, lawful, non-infringing, and free from material misrepresentation. The Producer shall update stock availability and material specifications without undue delay.
5. Pricing
The Producer shall state to Stomaton the producer-level price at which it is willing to supply each Bundle or Slab. Stomaton adds its margin and presents a single price to the Buyer through the Proforma. The Producer shall not actively undercut the Platform's quoted prices for the same lot during the validity period of a Quote or Proforma issued through the Platform.
6. Back-to-back supply
Where a Contract is formed between Stomaton and a Buyer, Stomaton issues a Purchase Order to the Producer on materially the same terms as the corresponding Proforma. Title to the Goods passes from the Producer to Stomaton at the Incoterms delivery point; Stomaton simultaneously transfers title to the Buyer.
7. Incoterms offered
Shipment to the Buyer is effected on FOB, CIF, or DAP terms (Incoterms 2020) as agreed in the Proforma. Stomaton issues to the Producer a back-to-back Purchase Order on a mirrored Incoterm, typically FOB at the Producer's nominated loading port. The Producer shall deliver the Goods to the Incoterms delivery point at its own cost and risk as required by the agreed Incoterm.
8. Quality and non-conformance
The Producer warrants that the Goods conform to the specifications in the Purchase Order, subject to the natural-stone variation tolerated in the Proforma. Where Stomaton becomes liable to a Buyer for non-conformance, the Producer shall indemnify Stomaton to the extent such non-conformance is attributable to the Producer's breach.
9. Payment to the Producer
Payment to the Producer is made on the terms set out in the Purchase Order, typically on presentation of shipping documents and subject to receipt by Stomaton of the Buyer's balance payment. Stomaton may set off amounts owed to the Producer against amounts owed by the Producer.
10. Sanctions and compliance
The Producer warrants that neither it nor its beneficial owners is listed on any of the sanctions regimes set out in the Export Compliance page, that it does not source from persons so listed, and that it complies with applicable anti-money-laundering, anti-bribery, and labour laws.
11. Ranking and visibility
Listings are ordered using factors including, without limitation: completeness of the listing data, quality of photographs, recency of updates, match to Buyer search criteria, historical quote-to-Contract conversion, and responsiveness to Stomaton's requests. The Producer may request a review of its ranking by writing to op@sez.ai.
12. Suspension and termination
Stomaton may suspend or terminate the Producer's access for material breach, sanctions failure, reputational risk, or repeated non-conformance. Material changes to these Producer Terms will be notified at least fifteen (15) days before they take effect, as required by Regulation (EU) 2019/1150.
13. Complaint handling
The Producer may submit complaints to op@sez.ai. Stomaton operates an internal complaint-handling system and aims to respond within a reasonable period. Where a complaint cannot be resolved internally, the parties may submit the matter to a mediator designated by Stomaton in accordance with the Platform-to-Business Regulation.
14. Data processing
When receiving Buyer contact data for shipping and customs, the Producer acts as a data processor on Stomaton's behalf and shall process such data only on documented instructions, maintain appropriate security measures, assist Stomaton in responding to data subject requests, and delete or return the data on termination. A separate Data Processing Agreement is incorporated by reference.
15. Governing law
These Producer Terms are governed by Turkish law. Disputes are resolved under the Rules of the Istanbul Arbitration Centre (ISTAC), seat Istanbul, language English. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
